Deskpro AI Acceptable Use Policy

This Deskpro AI Acceptable Use Policy (the “Policy”) applies to Customers’ and their Users’ use of all Products offered by Deskpro, Inc. (“Deskpro”), or third party products that operate with the Products offered by Deskpro, that incorporate AI Tools (collectively, the “Covered AI Tools”).Violation of this Policy will be considered a material breach of the Customer Agreement and/or any other agreement covering Customer’s use of the Products (the “Agreement”).Capitalized terms used in the Policy have the same meaning as set forth in the Agreement.

Deskpro may change this Policy by posting an updated version at www.deskpro.com/legal/ai-terms and such updates will be effective upon posting.Customers remain responsible for routinely reviewing Deskpro’s policies, procedures, and other documentation applicable to Customers and keeping themselves apprised of any changes.

Customers and their Users must use all Covered AI Tools in compliance with all applicable laws and this Policy.Customers and their Users are responsible for determining what laws are applicable to its use of Covered AI Tools.Deskpro is not responsible for determining the legality of Customers’ and their Users’ access and use of the Covered AI Tools.

  1. Respecting Intellectual Property Rights
    Customers and their Users must not enter Input that specifically includes materials that may contain the intellectual property rights of a third party, unless the third party has provided approval for such use. Additionally, Customers and their Users must consider whether the Output will contain material that may be protected by the intellectual property rights of a third party or the publicity rights of an identifiable individual. Human review of the Output must identify and remove material present in the Output that may infringe a third party’s intellectual property or publicity right.
  2. Transparency
    Customers and their Users must disclose the use of Covered AI Tools to individuals that are interacting with the Covered AI Tools. Customers and their Users must ensure use of the Covered AI Tools does not deceive individuals by misrepresenting the Output generated through Cover AI Tools as human generated content. Additionally, if the Covered AI Tools record an individual’s use of such tool, the Customer or its User must disclose such recording to the individual prior to the individual interacting with the Covered AI Tool.

    Customers and their Users are responsible for determining the content and placement of any notices that are required by this Policy and/or applicable law.

    Customers must keep accurate records of such notices in connection with the Covered AI Tools.Upon written notice, Deskpro has the right to request Customer provide evidence of such notices.
  3. Recognizing Risks Associated with Output
    The technology used in the Covered AI Tools is always evolving and is not perfect. Output may be inaccurate or unsuitable for the use case.Additionally, Output can be misleading or deceptive. While Deskpro makes reasonable efforts to provide up-to-date Covered AI Tools, Customers and their Users are responsible for recognizing the inherent risks associated with using the Covered AI Tools and must be diligent in:
    • reviewing Output to ensure the information is accurate, non-deceptive, and fit for purpose;
    • keeping a human in the loop and ensuring there is oversight in the deployment and use of every Covered AI Tool;
    • being aware of and knowledgeable in requirements set forth in any third party terms and conditions that are applicable to the use of a Covered AI Tool and abiding by such third party terms and conditions;
    • ensuring the use of the Covered AI Tools and any Output does not harm the reputation of the Customer, its Users, and Deskpro; and
    • using accurate Input.
  4. Prohibited Uses
    Customers shall not use a Covered AI Tool, nor allow their Users or any third party to use a Covered AI Tool for the following purposes:
    • Automated decision-making processes having legal effects. If a Covered AI Tool is used in such a manner, Customer must ensure that the final decision is made by a human.
    • Individualized Advice from Licensed Professionals.A Covered AI Tool cannot be used to generate individualized advice that would normally be provided by a licensed professional, e.g., medical advice, legal advice, and/or financial advice.This does not prohibit a Customer using the AI Tool for customer support in regulated industries; however, to the extent such customer support involves individualized advice, there must be a human reviewing the advice.
    • Predicting Protected Characteristics.Covered AI Tools cannot be used to predict or infer protected characteristics of a person, e.g., age, gender, disability, race.Additionally, Covered AI Tools cannot be used to gather images from individuals to create or analyze biometric information for inferring characteristics of the individual.
    • Deceptive or Illegal Activity.Covered AI Tools cannot be used for any deceptive activity including but not limited to impersonation, plagiarism, theft of intellectual property, and transferring false information.Additionally, Covered AI Tools cannot be used to create, send, display, process, transfer any material that is not in compliance with applicable laws, including but not limited to material used to perpetrate online harassment (including sexual harassment), child pornography, slavery, abuse, cyber security breaches, and espionage.
    • Unethical Activity.Covered AI Tools must be used in an ethical, non-discriminatory, and non-biased manner.Actions such as bullying, abuse, intimidation, and discrimination that are conducted through the use of the Covered AI Tools is strictly prohibited.
    • Security Abuse and Prompt Injection Attacks.Customers and their Users may not attempt to circumvent, probe, disrupt, disable, or otherwise interfere with the integrity, security, or intended operation of the Covered AI Tools. This includes, but is not limited to, engaging in prompt injection, prompt leaking, adversarial testing, or any other activity intended to manipulate or mislead the AI system, gain unauthorized access to data, or bypass usage restrictions or content safeguards.
    • Violation of an Individual’s Privacy.Covered AI Tools cannot be used in any way that compromises or violates the legal rights (including the rights of publicity and privacy) of any Person, including by:
      • accessing, collecting, soliciting, processing, disclosing, or sharing personal data in any manner that does not strictly comply with laws and any disclosures;
      • conducting unlawful monitoring, tracking, or surveillance of individuals; or
      • using or distributing digital replicas in any manner that does not strictly comply with laws, including, without limitation, all disclosure, consent, and authorization requirements imposed by laws.

Enforcement of Policy

Deskpro may investigate any complaint or alleged violation of this Policy.Violation of this Policy will be considered a material breach of the Agreement.
